Acceptable Use Policy
This Schedule forms part of the Decidr Master Subscription and Services Agreement (the “Agreement”). Capitalised terms used but not defined in this Schedule have the meanings ascribed to them in the Agreement.
- Purpose - The Acceptable Use Policy (“Policy”) establishes the standards and guidelines for the Client and its Authorised Users in the use of the Subscription Services provided by Decidr. This Policy is designed to protect the integrity, security, and functionality of the Services.
- Prohibited Uses - The Client and its Authorised Users shall not use the Services to:
- Violate any applicable laws, regulations, or third-party rights, including intellectual property rights and privacy laws.
- Deploy harmful code, perform unauthorised access (e.g., hacking or scraping), or disrupt the performance of the Services.
- Circumvent, probe, or test the vulnerabilities of the Services without prior written approval from Decidr.
- Publish, upload, or distribute material that is unlawful, defamatory, harassing, obscene, or otherwise objectionable in Decidr’s reasonable discretion.
- Collect, share, or process personal data in violation of applicable data protection laws or without proper consent.
- Impersonate Decidr, its Affiliates, or third parties, or otherwise misrepresent affiliation with Decidr.
- Use the Services to develop or market competing products.
- Launch denial-of-service attacks, introduce harmful software, or otherwise interfere with the normal functioning of the Subscription Services Platform.
- Transmit spam or engage in unlawful solicitation.
- Exceed authorised Usage Metrics as outlined in the applicable Order or otherwise breach the Documentation.
- Responsibilities of the Client - The Client must:
- Ensure all Authorised Users comply with this Policy and the Agreement.
- Promptly report any security incidents, unauthorised access, or misuse of the Services to Decidr.
- Use the Services in accordance with the applicable Documentation, ensuring human review of the Output where appropriate for accuracy and suitability.
- Monitoring and Enforcement
- Decidr reserves the right to monitor the use of the Services to ensure compliance with this Policy.
- Violations of this Policy may result in:
- Suspension or termination of access to the Services.
- Notification to law enforcement or regulatory authorities where required.
- The Client agrees to cooperate with Decidr in investigating any suspected breach of this Policy.
- Amendments - This Policy may be updated from time to time by Decidr to reflect changes in laws, technology, or business practices. Continued use of the Services constitutes acceptance of the amended Policy.
- Governing Law - This Schedule is governed by the laws specified in the Agreement.
